1. Acceptance of Terms
By accessing the AED Lab website or purchasing any product from AED Lab (“AED Lab,” “we,” “our,” “us”), you (“you,” “your,” “Buyer”) acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions (“Terms”). If you do not agree, do not use the site or place an order.
2. Products Sold for Parts & Repair Only
1. Nature of Goods. AED Lab sells used, recycled, and salvaged Automated External Defibrillator (“AED”) units and related components strictly for parts, refurbishment, or educational / research purposes.
2. No Medical Use. Products are not certified, approved, or warranted for clinical, emergency, life-saving, or diagnostic use. Buyer represents and warrants that it will not employ any product for patient care or allow any end user to do so.
3. “As-Is / With All Faults”
1. Disclaimer of Condition. All goods are provided “AS IS,” “WHERE IS,” AND “WITH ALL FAULTS.”
2. No Warranties. AED Lab disclaims all warranties—express, implied, statutory, or otherwise—including but not limited to any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or title.
3. Inspection. Buyer acknowledges an opportunity to inspect (or request additional information about) the goods before purchase and accepts sole responsibility for assessing suitability.
4. Illustrative Images
Product photos, videos, and descriptions on the website are illustrative examples only. The actual item shipped may differ in brand, model, cosmetic condition, firmware, accessories, and remaining component life.
5. Ordering & Payment
1. All prices are listed in U.S. dollars and are exclusive of shipping, handling, taxes, duties, and fees unless stated otherwise.
2. Orders are processed only after full payment is received via the methods offered at checkout. AED Lab reserves the right to cancel or refuse any order, in whole or in part, at its sole discretion.
6. No Returns – Limited Store Credit
1. All Sales Final. AED Lab does not accept returns, exchanges, or cancellations once an order is placed.
2. Store Credit Exception. In AED Lab’s sole discretion, limited store credit (never cash refund) may be issued for extraordinary circumstances (e.g., concealed shipping damage reported within 48 hours of delivery). Eligibility, amount, and expiry of store credit are determined exclusively by AED Lab.
7. Limitation of Liability
1. Exclusion of Damages. To the fullest extent permitted by law, AED Lab, its owners, officers, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages (including lost profits, lost data, personal injury, or property damage) arising out of or related to the products or these Terms, even if advised of the possibility of such damages.
2. Maximum Recovery. In all events, AED Lab’s aggregate liability shall not exceed the purchase price actually paid for the specific item giving rise to the claim.
3. Essential Purpose. Buyer acknowledges that the limitations of liability and disclaimers herein are fundamental elements of the bargain between the parties.
8. Buyer Representations & Indemnity
1. Buyer certifies it is knowledgeable in the handling, testing, and refurbishment of AED equipment and will comply with all applicable laws, regulations, and safety standards.
2. Buyer agrees to defend, indemnify, and hold harmless AED Lab from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) Buyer’s purchase, use, misuse, resale, or disposal of any product; (b) Buyer’s breach of these Terms; or (c) any alleged violation of law by Buyer.
9. Regulatory Compliance & No Affiliation
1. Buyer is solely responsible for determining whether federal, state, local, or international regulatory approvals (e.g., FDA, CE, Health Canada) are required for the intended use or resale of any product and for obtaining such approvals before use.
2. AED Lab is an independent reseller not affiliated with, sponsored by, or endorsed by any AED manufacturer. All trademarks remain the property of their respective owners and are used solely for identification.
10. Export Control
Products may be subject to U.S. export control laws and regulations. Buyer shall not export, re-export, or transfer any item in violation of such laws.
11. Governing Law & Venue
These Terms and any dispute arising out of or relating to them shall be governed by the laws of the State of Tennessee, without regard to conflict-of-law rules. The state and federal courts located in Williamson County, Tennessee shall have exclusive jurisdiction. Buyer hereby consents to such jurisdiction and venue.
12. Dispute Resolution Prior to Litigation
Before filing any lawsuit, the parties shall attempt in good faith to resolve any dispute through informal negotiation for at least thirty (30) days after written notice of the dispute.
13. Modifications
AED Lab may amend these Terms at any time by posting a revised version on its website. The revised Terms are effective immediately for new orders and thirty (30) days after posting for existing relationships. Continued use of the site constitutes acceptance of the amended Terms.
14. Severability & Entire Agreement
If any provision of these Terms is held unenforceable, the remainder shall remain in full force. These Terms constitute the entire agreement between Buyer and AED Lab regarding the sale of products and supersede any prior agreements or understandings.
